To support the Head of Legal and Compliance across the Company's legal, regulatory, and governance affairs including legal research, drafting, transaction support, and records management and to lead the design, implementation, and day-to-day monitoring of the Company's legal compliance program, ensuring the Company's adherence to applicable laws, regulations, internal policies, and the Shareholders' Agreement.

Key Responsibilities and AccountabilitiesLegal Advisory and Research SupportProvides legal research and preliminary advice on corporate, commercial, tender, employment, and other matters, escalating complex or high-risk questions to the Head of Legal and Compliance.

Conducts legal research on Omani and GCC laws, regulations, and market practices relevant to the Company's business and investments.

Contracts and Transaction SupportDrafts, reviews, and proofreads NDAs, MoUs, contracts, and other legal documents at various stages of investment.

Supports the legal due diligence of target companies, including document collection, review, and preparation of due diligence summaries.

Supports the legal aspects of establishing new companies and subsidiaries, including preparation of incorporation documents, board resolutions, proxy forms, and powers of attorney.

Legal Records and Corporate DocumentationMaintains, organises, and updates the Company's legal records and contracts database (founding documents, commercial registrations, authorised signatories, lists of directors, minutes, and other official records).

Monitors and ensures timely renewal of commercial registrations, licences, and other statutory filings.

Reviews translation of documents (Arabic / English) and ensures accuracy and consistency of legal terminology.

Compliance Program LeadershipDevelops, implements, and monitors the Company's legal compliance program.

Monitors operational processes and procedures including through the Company's compliance management platform to ensure adherence to applicable laws, regulations, internal policies, and the Shareholders' Agreement.

Conducts regular compliance risk assessments, internal reviews, and audits, and follows up on the closure of corrective actions.

Reviews and updates compliance policies and procedures periodically to reflect current laws and Company practices.

Regulatory Monitoring and AML / KYCTracks new laws, regulations, and amendments relevant to the Company's business, and prepares regulatory update summaries for the Head of Legal and Compliance and Management.

Performs KYC / AML screening and due diligence checks on counterparties, and escalates red flags in line with the Company's AML policies.

Reporting and RegistersMaintains compliance registers and records.

Prepares clear and concise compliance reports and dashboards for the Management.

Training, Awareness and Stakeholder EngagementTrains and raises staff awareness on compliance policies, procedures, and regulatory changes.

Liaises with external legal consultants, government authorities, and regulators.

Performs any other tasks delegated as and when required. Qualifications and Experience

Minimum Qualifications

Bachelor's Degree in Law or a related field.A professional certification in compliance or AML (e.g., ACAMS, ICA) is an added advantage.
Professional Experience
Minimum of 5 years of experience in legal and/or compliance roles, preferably within investment, financial services, or a corporate environment.
Working knowledge of Omani commercial law and corporate governance, with exposure to AML policy and risk management considered an advantage.
Proficiency in Arabic and English (spoken and written).
