M&A attorney

Mantle is an M&A law firm built for sellers. Our clients are founders and business owners exiting companies in the $5 million to $100 million range in home services, business services, industrial, and professional services industries. We work on fixed fees and have billable hour targets.

The firm's founder trained at Skadden and Citigroup and spent several years on the private equity buy side, evaluating hundreds of businesses and closing over $200 million in acquisitions before founding Mantle.

Mantle is growing quickly. We are building referral relationships with investment banks, brokers, and advisors across the country and investing in the infrastructure to support that growth. You will work directly with clients, close deals, and help shape how this firm operates as it scales. You should expect to be managing transactions on your own within twelve months.

Who You Are

This role is right for you if you have four to seven years of corporate transactional experience with a substantial focus on M&A, and you want to run deals rather than staff them.

You are commercial and entrepreneurial. You can read a quality of earnings report and a working capital peg, and know which issue is going to cost your client money at closing and which one is noise.

You are AI-fluent. Rather than waiting for a firm to roll out a tool for you, you have been using these tools on your own for a year or more in real transactional work, and you know where they earn their place and where they break.

You can talk to an owner. Our clients are operators, not general counsel, and most of them will do this once. You explain things in plain language and you are straightforward about what matters.

You want to help build a firm, not just work at one.

Responsibilities

• Draft and negotiate purchase agreements, letters of intent, disclosure schedules, and ancillary transaction documents
• Manage due diligence and run closing checklists and closing mechanics across multiple concurrent transactions
• Coordinate with tax and employment counsel and with clients' financial and tax advisors on deal-specific issues
• Work directly with clients as the primary day-to-day contact on your matters

Qualifications

• J.D. from an accredited law school
• 4 to 7 years of corporate transactional experience with a substantial focus on M&A
• Experience drafting purchase agreements and managing diligence on private company transactions
• Admission to any U.S. state bar

Preferred

• Sell-side experience in the lower middle market
• Experience with closely held or founder-owned businesses
• Familiarity with earnouts, rollover equity, and working capital adjustments
• Experience with MSO or professional services transactions
• Interest in eventually building a book of your own

Compensation and Terms

Total compensation is competitive and based on experience, consisting of a base salary and a bonus on every transaction you close. As deal volume grows, your compensation grows with it directly. Attorneys who take on more responsibility as the firm scales will share in that growth. Fully remote.
