MULTIPLE-LEVEL ATTORNEY SEARCH

National Electric Coil (“NEC”) is rapidly expanding its presence in the power-generation support-services market and is conducting a multi-level attorney search. Depending on experience, qualifications, leadership capabilities, and NEC’s needs, the candidate may be hired as Associate Commercial Counsel, Commercial Counsel, General Counsel, or Lead General Counsel.

Regardless of level, the initial focus will include drafting, reviewing, and negotiating commercial agreements. The breadth of responsibility, authority, and involvement in other legal and commercial matters will vary by position and candidate. The attorney will also have opportunities to build relationships and develop a strong professional network within the power-generation legal community.

REPRESENTATIVE PROJECT EXPERIENCE

• Renovations involving generators exceeding 700 MW for investor-owned Midwest utilities, including projects converting former coal-fired facilities for natural-gas turbine generation and achieving plant-level emissions reductions of as much as 50%.
• Emergency restoration of a hydro generator at the headwaters of New Zealand’s largest hydro network after multiple prior repairs failed. NEC led the recovery, designed and manufactured the required components, and returned the station to the grid ahead of its aggressive commitment.
• Recovery of two newly manufactured 300 MW generators for a greenfield project in the Philippines after the OEM could not diagnose or remedy a failure. NEC identified the problem within days, developed its own solution, and returned both units to service.
• Design and manufacture of electrical winding components for South Korea’s KSTAR nuclear-fusion project after other suppliers could not meet the technical challenge.
• Conversion of nine generators on the upper Mississippi River from 25 Hz to 60 Hz; repair and uprate of pumped-storage units stabilizing the New England power grid; on-site rebuilding of an 800 MVA generator from its bare frame; and emergency recovery of a failed 100 MW geothermal generator in Indonesia after the OEM declared it unrepairable.
• Three consecutive three-year hydro-modernization contracts with a federal power producer exceeding $100 million in cumulative value, along with Federal Acquisition Regulation projects, including a $45 million multi-year, multi-unit project.

POSITION OVERVIEW

NEC’s attorneys sit within its Commercial department and support the full project lifecycle—from proposal development and negotiation through execution, closeout, claims, and dispute resolution—while managing the legal, commercial, operational, and financial risks of large-scale projects.

The principal focus will be drafting, reviewing, and negotiating proposals, purchase orders, contracts, and related customer agreements. The attorney will work with NEC’s technical, commercial, and operational teams to ensure commitments accurately reflect NEC’s scope, pricing, schedule, assumptions, performance obligations, risk allocation, and ability to execute successfully.

The position may also include supply-chain contracting, project execution, change management, claims, insurance, warranties, financial and regulatory issues, litigation management, and corporate matters. Its scope may evolve with the attorney’s development and NEC’s changing needs.

KEY RESPONSIBILITIES

Commercial Agreements

• Draft, review, revise, and negotiate proposals, contracts, purchase orders, master service agreements, amendments, change orders, confidentiality agreements, and related documents.
• Evaluate risks involving scope, pricing, payment, schedule, delay, performance guarantees, warranties, indemnification, insurance, intellectual property, confidentiality, termination, dispute resolution, and limitations of liability.
• Work with sales, engineering, operations, finance, project management, and executive leadership to ensure contractual commitments are appropriate, understood, and consistent with NEC’s ability to perform.
• Translate contractual requirements into practical guidance for the teams pricing, planning, and executing the work.
• Develop negotiation strategies, document material terms and deviations, and improve NEC’s templates, playbooks, and contract-risk standards.

Broader Legal and Commercial Support

• Advise on laws and regulations affecting NEC’s projects and operations, including contractor licensing, labor requirements, prevailing wages, and regulatory compliance.
• Draft and negotiate supplier, subcontractor, consultant, and service-provider agreements, including customer flow-downs, and align customer commitments with third-party obligations.
• Advise on contract interpretation, scope disputes, change orders, pricing adjustments, schedule impacts, insurance, warranty claims, and performance issues.
• Support claims development, pre-litigation analysis, dispute resolution, settlement negotiations, litigation management, outside counsel, and strategic risk mitigation.
• Conduct legal research and prepare practical memoranda, executive summaries, recommendations, and other analyses.

Project Execution, Finance, and Strategy

• Advise project managers and operational leaders on contractual and commercial matters affecting execution, notices, change management, payment, schedule rights, warranties, closeout, and claims.
• Collaborate with finance and accounting on pricing, payment terms, invoicing, collections, financial exposure, scope changes, credits, backcharges, liquidated damages, forecasting, audits, and revenue realization.
• Improve contract administration, documentation, project management, and operational risk management through tools, procedures, and training.
• Partner with executive leadership on strategic initiatives, operational improvements, contract-risk management, organizational growth, customer negotiations, dispute resolution, business development, and long-term relationships.

CAREER OPPORTUNITIES

NEC operates major manufacturing and service facilities in Columbus, Ohio, and Brownsville, Texas, with executive and operational leadership at both locations. NEC has traditionally placed attorneys in senior leadership roles within its Commercial department because it views legal judgment, commercial strategy, and project execution as interconnected business functions.

This position offers substantial experience negotiating sophisticated agreements for high-value power-generation and critical-infrastructure projects. As the attorney learns NEC’s customers, technology, operations, and risks, the role may expand into project execution, supply-chain contracting, disputes, financial operations, compliance, corporate matters, litigation management, and executive leadership.
