Junior Legal Counsel

Overview

Under direction of the General Counsel, the junior Legal Counsel provides legal advice to all CPX business units on technology transactions, corporate governance, regulatory, compliance and intellectual property matters. He or she also responds promptly to requests for legal advice, and is responsible for the negotiation of a range of agreements with clients and vendors.

Responsibilities

Legal Advice

Provide independent advice and support to all CPX business units on technology transactions, labour and employment matters, regulatory, compliance and intellectual property rights.

Contract Negotiation

• Draft, review and negotiate commercial agreements including non-disclosure agreements and T&C’s.
• Support business units with the development and revision of client and vendor agreements.

Compliance

• Assist the General Counsel in the rollout and implementation of CPX’s compliance program.
• Draft and implement policies and procedures, including policies related to labour law, supplier code of conduct, trade compliance, and data privacy and security.a
• Monitor compliance with regulatory requirements and any procedures required by CPX customers and other partners.
• Deliver trainings to CPX employees and other stakeholders on the above policies and procedures.
• Help cross-functional teams with risk management and providing advice on enforcement of CPX policies and procedures.
• Assist with internal and external investigations, inquiries, and potential disputes.
• Resolve issues that arise in existing commercial relationships and handle pre-litigation legal disputes and inquiries.
• Maintain compliance tracking system and risk register.

Qualifications

Skills/Certifications (Technical & Non-Technical)

• Genuine interest in sharing skills and experience with legal and non-legal business colleagues.
• The desire to thrive in a fast-paced in-house environment and have a keen fascination with technology and cyber-security products and services.
• Preference will be given to candidates who are bilingual (Arabic/English), but this is not an essential requirement for this position.
• Excellent analytical skills, good judgment, organizational skills and high attention to detail.
• Client-service oriented, including strong interpersonal and relationship building skills.
• Proactive and positive team player.
• Capacity to manage many files simultaneously, work well under pressure and exercise initiative.
• Exceptional time management skills, with the ability to meet deadlines and manage competing priorities, whilst working in a fast-paced environment.
• Ability to work independently with minimal supervision.
• Capacity to occasionally accommodate a flexible schedule.

Minimum Work Experience

• 1-3 years' PQE dealing with complex commercial, M&A, Private Equity and international technology-related contracts.
• Articling or foundational legal experience at a leading law firm or corporate legal department is preferred.

Education

• Law degree from a recognized and reputable university.
• Admitted as an attorney, barrister and/or solicitor in Australia, Canada, Europe, Ireland, the United Kingdom or the United States.
• MBA, LLM and CIPP certification are ideal, but not required.
