SENIOR GOVERNANCE OFFICER

Develop and implement robust corporate governance frameworks, policies, and procedures aligned with regulatory requirements and best practices.

Oversee the establishment and maintenance of effective board and committee governance structures, ensuring compliance and optimal functioning.

Lead the preparation and execution of board meetings, including agenda setting, minute-taking, and follow-up on action items.

Manage and enhance the company's insider trading and disclosure control systems, ensuring timely and accurate reporting to regulatory bodies. Advanced degree (Master's or equivalent) in Law, Business Administration, Finance, or a related field.

Professional certifications such as Certified Corporate Governance Professional (CCGP), Chartered Secretary (ICSA), or equivalent.

Minimum of 7-10 years of progressive experience in corporate governance, legal, compliance, or risk management roles within a regulated industry (e.g., financial services, healthcare).

Demonstrated expertise in corporate law, securities regulations, and stock exchange listing rules relevant to the company's jurisdiction.
