Role Overview

A leading US Law Firm with Global presence is looking to rapidly expand and is seeking an experienced Senior Associate or Of Counsel to join its highly regarded Private Equity team in Dallas. This role is ideal for a lawyer with a strong background advising private equity firms and their portfolio companies across a wide range of complex transactions.

You will work closely with leading partners, manage sophisticated deal work, and support clients across the full lifecycle of private equity investments.

Key Responsibilities

• Advising private equity firms and portfolio companies on complex transactions, including equity investments, co‑investments, and general corporate matters
• Drafting and negotiating LLC agreements, LP agreements, shareholder agreements, investor rights agreements, and related transaction documents
• Managing day‑to‑day legal needs of private equity fund and portfolio company clients
• Advising on management equity arrangements, including incentive equity structures
• Supporting M&A transactions and contributing to broader corporate mandates
• Collaborating with colleagues across practice groups and offices

Candidate Requirements

• JD from an ABA‑accredited law school with strong academic credentials
• 5+ years’ experience - advising private equity clients on complex transactions
• Strong drafting, negotiation, and analytical skills
• Texas Bar admission, or eligibility to become admitted
• Excellent communication and writing skills
• Familiarity with private equity fund structures and M&A is advantageous
