Senior Corporate Associate / Of Counsel - Technology & M&A

Bekiares Eliezer LLP (Founders Legal®) is seeking a corporate attorney with 5+ years of law firm experience to join our tech-focused practice, either as a full-time Senior Associate or in an Of Counsel capacity.

This role centers on two core areas: drafting and negotiating customer-facing commercial contracts for technology companies (particularly SaaS businesses) and other clients, and handling M&A transactions for our tech and services company client base.

The ideal candidate has strong contract drafting instincts, is comfortable negotiating directly with counterparties, and has meaningful exposure to private M&A deal work (diligence, deal documents, and closing mechanics). Candidates must have substantive experience working with technology companies, particularly SaaS businesses.

Experience with data privacy matters, business formation, equity/securities matters, and general outside counsel work is a plus, as responsibilities may expand based on experience and interest.

We're open to candidates seeking a traditional associate track or a more flexible Of Counsel arrangement, including attorneys with an existing client base or book of business, or those seeking reduced or project-based hours.

What You'll Do

• Draft and negotiate commercial contracts (MSAs, SaaS agreements, DPAs, vendor and customer agreements) for technology and services clients
• Manage M&A transactions for tech and services company clients — due diligence, deal documents, and closing
• Advise clients directly, managing relationships and expectations throughout transactions
• Collaborate with attorneys across the firm on cross-functional matters (corporate, IP, data privacy) as deals require

What We're Looking For

• 5+ years of law firm experience in general corporate/business law, ideally including contract drafting/negotiation and M&A
• Required: substantive experience working with technology companies, particularly SaaS businesses
• Bonus experience: data privacy matters, business formation, operating/shareholder agreements, capital raising and securities offerings, equity incentive matters
• JD from a U.S.-accredited law school (journal experience required)
• Active bar admission in good standing (Georgia preferred)
• Excellent writing, communication, and interpersonal skills
• Strong time management and the ability to work both independently and on project teams
• Comfort adopting new software and technology tools

• Admitted to practice, in good standing with a State Bar Association (Georgia preferred)
• Located in Atlanta, Georgia

• Fast learner, capable of quickly internalizing new systems and processes
• Ability and dedication to work effectively in a remote environment
