We are currently seeking a Managing Director/Senior Legal Counsel to lead our Office of General Counsel (OGC) Corporate Legal Group as the Head of the Corporate Transactions and Governance Team.

Responsibilities

• Lead the Corporate Transactions and Governance Team, guiding the legal strategy and delivering advice on firm governance, the partnership agreement, bylaws, and organizational structure, alongside a broad spectrum of corporate transactions and strategic initiatives including financing and acquisitions.
• Act as the primary advisor to the U.S. Board of Directors, U.S. Management Committee, and senior leadership on governance matters; collaborate on strategic initiatives with significant operational and governance impacts.
• Advise the firm on U.S. and global governance aspects while navigating the complexities of a multi-tiered governance framework and overseeing cross-border governance activities.
• Provide legal oversight for complex transactions such as financing, joint ventures, and M&A, ensuring alignment with governance frameworks and partnership obligations.
• Develop and nurture talent within the team to create a strong foundation of corporate governance and transactional expertise while promoting a culture of collaboration, inclusion, and continuous learning.

Qualifications

• At least 14 years of experience in a reputable law firm and/or in-house legal department; JD or LLM from an accredited law school; licensed to practice in the U.S.
• A strategic thinker adept at managing multiple complex projects simultaneously, consistently delivering high-quality results while upholding the highest ethical standards.
• Strong collaboration skills with proven ability to build effective business partnerships and work across functional and global teams.
• Demonstrated leadership capabilities with high emotional intelligence, proficiency in managing change, influencing stakeholders, and resolving conflicts.
• Experience advising professional services firms is advantageous.
